Alberta is the least expensive Canadian province in which to carry on business. To extra-provincially register your existing corporation into Alberta, or any other Canadian jurisdiction, you will need to complete the following form.

Articles of Incorporation

Every corporation wishing to extra-provincially register in Canada must provide evidence the corporation is in good standing in its home jurisdiction. Existing Canadian companies must provide certified copies of the existing articles of incorporation as filed in the home province along with certified copies of any and all amendments.  Non Canadian corporations must provide a certificate of good standing. 

We can not proceed to registration until you provide the above documents. Therefore, there is no need to complete this form until such time as you have obtained the required documents

Directors

Only individuals can be directors. There is no requirement that a director be a resident Canadian. An extra-provincial registration requires that at least one individual be named at the time of filing. However, you can elect to name up to 15 directors.

 

How many Individuals will be named as initial Directors?

Shareholders

There is no requirement to name shareholders at the time of registration. Shareholders are named at the time of the filing of the first corporate annual return. We will bring this to your attention one year from registration date.

Corporate Addresses

Every corporation must have both a "Registered Office Address" and a "Records Address" in the jurisdiction in which they register their company. We will act as your "Registered Office Address" and, if you elect, your "Records Address" for all Alberta Ex-Pro's. If you are registering in another jurisdiction then you will need to provide these addresses.

Attorney for Services

Every extra-provincial corporation must have an "Attorney for Service" and may appoint an alternate "Attorney For Service" in the jurisdiction in which they register their company. Arvic staff will act as your "Attorney For Service" in Alberta. If you are registering in any other jurisdiction then you will need to appoint an "Attorney for Service".
