Every individual who is resident in Canada can start a new business by registering a Trade Name or forming a Limited Liability Company. Individuals who are not residents of Canada CAN NOT register a Trade Name in Canada. However, both non resident individuals and corporations can register their existing corporation in Canada or form a new "Canadian Presence" Corporation.

The following is a description of each type of registration available in Canada.

Trade Name Registrations in Canada.

Most people who start their first business do so by registering a Trade Name. It is the least expensive way to secure registration. A trade name is any name you decide to use for your new business. You have probably seen businesses listed with names similar to the following.

  • Bill Smith Trucking, or

  • Bill Smith trading as Bill Smith Trucking, or

  • Bill Smith carrying on business as Bill Smith Trucking, or

  • Bill Smith doing business as Bill Smith Trucking, or

  • Bill Smith DBA Bill Smith Trucking.

In the above examples Bill Smith Trucking is a trade name belonging to Bill Smith  In effect Bill Smith has, by registering the trade name Bill Smith Trucking, served public notice and provided evidence that he is using a specific name for his business. When you use a trade name you are telling your customers, the government and the tax department that you are in business. Therefore, it is important to register the name you are using so your customers will know it belongs to you. 

Please Note: Trade names are registered for evidentiary purposes only within a specific province. This means that you have no right to the exclusive of the trade name you register. You only have the right to use the name within the geographic area where it is registered and used. Therefore, before you commence to use a trade name you need to perform a "NUANS Pre-Screen" search to see if the name you want is in fact available within a specific province and to determine who else may be using a similar name as a corporate name or trademark.

Incorporating a new Limited Liability company:

Incorporation is the process of limiting your liability. When you incorporate you form a new "Person". A limited liability company has all the same rights and privileges, except voting, that any individual Canadian might have.  A Limited company can own land, operate bank accounts, secure credit and employ others. You can tell when  company is incorporated by looking at the last word of the corporate name. If the corporate name ends with the words  Limited, Incorporated, Corporation, or uses the initials, LTD, INC., or CORP. then the company has been registered with a specific province or Canada wide as a limited liability company.

"Limited Liability" is a legal terms. It means the liability of the company is limited to the assets of the company. It also means the shareholders can not be held liable for the debts incurred by the company. However, as the company is a person it can be sued for its debts and held accountable for its actions. You have probably seen businesses listed with names similar to the following.

  • Bill Smith Trucking Ltd.

  • Bill Smith Trucking Limited

  • Bill Smith Trucking Corp.

  • Bill Smith Trucking Corporation

  • Bill Smith Trucking Inc.

  • Bill Smith Trucking Incorporated

The words and initials after the word Trucking are called legal elements. They denote that the company is incorporated to carry on business under the laws of the province in which they are registered. Every company using these terms is serving public notice that the company is incorporated with "Limited Liability". Only those companies that are in fact registered as an incorporated company can use these terms. There is an extremely heavy penalty for the use of these terms by anyone who has not incorporated their company. The owners of registered trade names can not use these terms.

In Canada there are three different variations to a "Limited Liability" company. All three have the same rights and restrictions. The difference is in the names.

Registering your existing corporation in Canada.

If your existing Company is currently active and in good standing in any jurisdiction any where in the world outside of Canada then you can register this company in Canada. Registering a new "Canadian Presence" corporation in Canada.

Those individuals and or corporations that are not currently resident in Canada can take advantage of our liberal tax laws by incorporating a new company in Canada similar to the way companies now incorporate offshore companies. The process is very simple and straight forward.
